Seller Terms

Active version 1.2

Effective Aug 29, 2026 · EN

1. Introduction and Acceptance

These Seller Terms and Conditions (“Seller Terms”) form an agreement between the person or legal entity registering, operating a store, or offering products for sale (“Seller”) and KODEMARKET, the operator of KodeMarket at https://kodemarket.co/ (“KodeMarket,” “Platform,” “we,” “us,” or “Company”).

By registering a Seller account, activating a store, uploading a Product, or using any Seller service, the Seller confirms that the Seller has read, understood, and agreed to these Seller Terms, together with KodeMarket’s Terms of Use, Privacy Policy, Refund Policy, and other published policies.

A person who does not agree to these terms must not register or offer Products through the Platform.

2. Eligibility and Seller Accounts

A Seller must be at least 20 years old or have reached the legal age of majority in the Seller’s country of residence. Where an account is registered for a legal entity, the person registering it must have authority to legally bind that entity.

The Seller agrees to:

  1. Provide accurate, complete, and current information.

  2. Keep passwords and login credentials confidential.

  3. Accept responsibility for all activity conducted through the account.

  4. Notify KodeMarket immediately of unauthorized access.

  5. Not sell, transfer, rent, or permit unauthorized use of the account.

  6. Not create multiple accounts to evade restrictions, suspension, or enforcement action.

KodeMarket may require identity, address, bank account, tax, or other verification documents required by law or payment service providers.

3. KodeMarket’s Role

KodeMarket provides a marketplace through which Sellers may offer software, source code, themes, plugins, templates, digital files, digital services, and other permitted items (“Products”).

Unless expressly stated otherwise, KodeMarket is not the owner, developer, manufacturer, or agent of a Product. The Seller enters into the sale or license transaction with the Buyer and remains responsible for the Product, its description, delivery, support, and legal compliance.

KodeMarket may review, approve, reject, restrict the visibility of, suspend, or remove a Product. Such review does not constitute an endorsement or guarantee of its quality, safety, or legality.

4. Product Listings

Every Product listing must be accurate, clear, and not misleading. It should state, where applicable:

  • The Product name and description.

  • Features and permitted uses.

  • System requirements and technical limitations.

  • The files, services, or benefits included.

  • The applicable license type and conditions.

  • The period of updates or support.

  • The price, taxes, and additional charges.

  • Refund conditions.

  • Images, demonstrations, and media that fairly represent the Product.

The Seller must not publish false or exaggerated claims, misleading prices or reviews, or conceal a material limitation.

KodeMarket may request additional information, demonstration files, evidence of rights, or changes to a listing before or after approval.

5. Prohibited Products and Conduct

A Seller must not offer, deliver, or distribute:

  1. Products infringing copyrights, trademarks, patents, trade secrets, or other rights.

  2. Pirated software, unauthorized copies, or licenses the Seller is not authorized to resell.

  3. Malware, viruses, spyware, ransomware, backdoors, or harmful code.

  4. Tools intended for phishing, data theft, system attacks, bypassing security, or illegal activity.

  5. Products that collect, transmit, or use Buyer data without adequate disclosure or a lawful basis.

  6. Illegal, fraudulent, threatening, hateful, or privacy-infringing content.

  7. Products the Seller is not authorized to sell, license, or distribute.

  8. Contact information or links intended to bypass KodeMarket’s payment system or fees.

  9. Fabricated or manipulated reviews, sales, or engagement.

KodeMarket may update its prohibited-products rules to protect the Platform’s security, integrity, and legal compliance.

6. Product Ownership and Licensing

The Seller retains ownership of intellectual property rights in the Product unless otherwise agreed.

The Seller determines the license offered to Buyers and must clearly display its conditions before purchase. In the absence of specific license terms, the Buyer receives only a non-exclusive, non-transferable, non-sublicensable right to use the Product for the purposes stated in its listing. No intellectual property ownership is transferred.

The Seller grants KodeMarket a non-exclusive, worldwide, royalty-free license to host, reproduce, display, technically format, and use submitted Product names, images, demonstrations, marks, and content as reasonably necessary to operate, review, market, and promote the Product and Platform.

7. Pricing, Fees, and Taxes

The Seller may set Product prices subject to KodeMarket’s published pricing rules. Prices displayed to Buyers must be clear and not misleading.

KodeMarket may deduct Platform fees, payment-processing fees, taxes, refunds, chargebacks, and other charges at the rates displayed on the fee page, Seller dashboard, or in a separate Seller agreement.

The Seller is responsible for:

  • Applicable tax registration and filings.

  • Issuing tax invoices or financial documents required by law.

  • Paying income tax, value-added tax, withholding tax, and other applicable taxes.

  • Providing accurate tax information to KodeMarket and payment providers.

KodeMarket may collect, withhold, or remit taxes where legally required.

8. Seller Payouts

Net Seller proceeds are calculated from payments actually received, less applicable fees, taxes, refunds, chargebacks, reserves, and other amounts owed.

Payouts will be made according to the schedule, holding period, and minimum threshold shown in the Seller dashboard or KodeMarket’s payout policy. The Seller is responsible for charges imposed by the Seller’s bank, currency-conversion provider, or payment service unless otherwise stated.

KodeMarket may delay, suspend, or withhold funds where:

  1. A dispute, refund, or chargeback is pending.

  2. Fraud, money laundering, or illegal activity is suspected.

  3. The Seller may have violated these Seller Terms or Platform policies.

  4. A government authority, court, or payment provider requires it.

  5. A reserve is reasonably necessary to cover potential liabilities.

If a Seller account has a negative balance, the Seller must repay it upon request. KodeMarket may offset that balance against future proceeds.

9. Delivery and Support

The Seller must deliver the Product as described and within the promised period. Download files and related systems must remain reasonably functional, secure, and free of malicious code.

Where installation, updates, warranties, or support are offered, the Seller must provide them within the published scope and period and respond to Buyer inquiries within a reasonable time.

The Seller must clearly disclose where a Product:

  • Requires third-party software or services.

  • Involves recurring charges.

  • Is limited by domain, device, user, or project count.

  • Depends on the Seller’s servers.

  • May stop functioning when a license or service period expires.

10. Refunds, Disputes, and Chargebacks

Refunds are governed by KodeMarket’s Refund Policy, applicable law, and the conditions published by the Seller. A Seller’s conditions must not restrict non-waivable consumer rights.

KodeMarket may issue a refund without further Seller approval where a Product:

  • Cannot be downloaded or used as described.

  • Has a material defect the Seller does not correct within a reasonable period.

  • Materially differs from its listing or advertising.

  • Was sold without authorization or infringes intellectual property.

  • contains malicious code or behavior.

  • Otherwise qualifies for a refund under law or Platform policy.

Refunds, chargeback fees, and related losses may be deducted from the Seller’s balance.

The Seller must cooperate and provide relevant evidence within the period specified by KodeMarket. If the Seller does not respond, KodeMarket may decide the matter using the available information.

11. Intellectual Property Complaints

The Seller represents that the Seller owns or has obtained all rights necessary to sell the Product and use all uploaded content.

Where a Product contains open-source software, stock content, fonts, images, AI models, or other third-party materials, the Seller must comply with all relevant licenses, provide required disclosures, and ensure that no restriction conflicts with its sale through KodeMarket.

KodeMarket may remove or suspend a Product and request proof of ownership upon receiving an infringement complaint. The Seller must cooperate with the investigation and remains responsible for claims arising from the Product.

12. Personal Data and Security

A Seller may use Buyer personal data only as necessary to process an order, deliver a Product, provide support, or comply with law.

The Seller must:

  1. Comply with applicable data-protection laws.

  2. Not use Buyer data for marketing without consent or another lawful basis.

  3. Not sell, disclose, or share Buyer data without authorization.

  4. Maintain appropriate security measures.

  5. Notify KodeMarket without undue delay of an actual or suspected data breach.

  6. Delete or return data when no longer required or when required by law.

KodeMarket may require a separate data-processing agreement where the Seller processes personal data on KodeMarket’s behalf.

13. Reviews and Buyer Communications

A Seller must not offer payment, discounts, gifts, or benefits in exchange for favorable reviews. The Seller must not threaten, pressure, or harass a Buyer to modify or remove an honest review.

Communications must remain professional and relevant to an order or support request. Buyer contact information must not be used for unauthorized advertising or to move transactions outside the Platform to avoid fees.

14. Seller Warranties

The Seller represents and warrants that:

  • All information provided to KodeMarket is accurate and complete.

  • Products are safe and perform substantially as described.

  • The Seller has authority to sell and license each Product.

  • Products do not violate law or third-party rights.

  • Products contain no undisclosed malicious code or data collection.

  • The Seller will comply with applicable tax, consumer, advertising, privacy, and other laws.

15. Indemnification

To the extent permitted by law, the Seller agrees to indemnify, defend, and hold harmless KodeMarket, its affiliates, directors, employees, and agents from claims, damages, liabilities, penalties, and reasonable costs arising from:

  1. The Seller’s Products or services.

  2. A breach of these Seller Terms or Platform policies.

  3. A violation of law or third-party rights.

  4. A dispute between the Seller and a Buyer.

  5. Taxes for which the Seller is responsible.

  6. The unlawful use or disclosure of personal data.

16. Limitation of KodeMarket’s Liability

The Platform is provided on an “as is” and “as available” basis. KodeMarket does not guarantee any level of sales or revenue or that access to the Platform will always be continuous, secure, or error-free.

To the extent permitted by law, KodeMarket will not be liable for indirect, special, or consequential damages or loss of profits, revenue, data, reputation, or business opportunity.

KodeMarket’s maximum aggregate liability relating to these Seller Terms will not exceed the Platform fees received from the Seller during the six months preceding the event giving rise to the claim, unless applicable law requires otherwise.

Nothing in these Seller Terms excludes liability that cannot legally be excluded or limited.

17. Monitoring, Suspension, and Termination

KodeMarket may monitor Products, activity, and transactions to prevent fraud, maintain security, and verify compliance.

KodeMarket may issue a warning, restrict functionality, reduce Product visibility, hold payouts, remove a Product, suspend an account, or terminate an account where it reasonably believes that the Seller:

  • Violated these Seller Terms or Platform policies.

  • Offered an unlawful or high-risk Product.

  • Caused or may cause harm to Buyers, the Platform, or another person.

  • Has an unusually high refund or dispute rate.

  • Provided false information or failed verification.

  • Attempted to bypass Platform systems or fees.

A Seller may close an account using the available procedure. The Seller remains responsible for orders, support, refunds, taxes, disputes, and liabilities arising before closure.

18. Changes to Terms or Services

KodeMarket may modify, add, suspend, or discontinue features or services and will provide reasonable notice where practicable.

KodeMarket may update these Seller Terms by publishing a revised version on the website or notifying the Seller through the Seller account. Continued use after the effective date constitutes acceptance of the updated terms.

Where a change has a material adverse effect, KodeMarket will provide reasonable advance notice unless an immediate change is required for legal compliance or security.

19. Governing Law and Disputes

These Seller Terms are governed by the laws of the Kingdom of Thailand, without limiting any non-waivable legal rights available to a Seller or Buyer.

The parties will first attempt in good faith to resolve a dispute through negotiation. If no resolution is reached, the dispute will be submitted to a court of competent jurisdiction in Thailand unless applicable law requires otherwise.

20. General Provisions

If any provision is unlawful or unenforceable, it will be limited or removed only to the extent necessary. The remaining provisions will continue in effect.

KodeMarket’s failure to exercise or immediately enforce a right does not waive that right.

The Seller may not assign rights or obligations under these Seller Terms without KodeMarket’s written consent. KodeMarket may assign its rights and obligations in connection with a restructuring, merger, sale, or transfer of the service.

These Seller Terms and the policies incorporated by reference constitute the entire agreement governing the Seller’s use of Seller services.
